Directors:
Mr. Guifa Cao, Chairman of the Board, aged 52
Cao Guifa is the chairman of Jiangsu Shuangdeng Group Co., Ltd (or “the group”) since September 2002. From 1979 to 1991 he served as research fellow and then doctoral supervisor in Chinese Academy of Science-CAS, which is a leading academic institution and comprehensive research and development center in natural science, technological science and high-tech innovation in China. Mr. was chosen as one of the top ten youthful scientists in CAS in 1989 and awarded special allowance by the State Council in 1992.He went to the University of Minnesota as visiting scholar in 1991. Mr. once held the post of senior advisor in the World Bank and already has more than 10 years’ experience in investment banking industry. Mr. Cao is the chairman and principal shareholder of Beijing Wit Consultancy Limited, which is one of the shareholders of Jiangshu Shuangdeng Group Co., Ltd. He owns 48.8% shareholding of Beijing Wit Invest Limited.

Mr. Shanji Yang, General Manager, Director, aged 53
Yang Shanji possesses the title of “senior economic manager” and holds the master degree, and has entered the industry of rechargeable battery since 1990. From 1990 to 1995 Mr. Yang was the factory director of the Jiangyan Sealed Storage Battery Factory and when Jiangsu Shuangdeng Power Supply Co., Ltd was set up in 1995, he took the post of the general manager. As one of the founders of the group, he has worked as the general manager since the group was formally established in September 2002. Mr. Yang has worked in several production enterprises as the top management and has got more than 25 years of management experience. Mr. Yang is the chairman and principal shareholder of Jianyan Two Stars Investment Limited, which is one of the shareholders of Jiangshu Shuangdeng Group Co., Ltd. He owns 88% shareholding of this company. He is vice president of Chinese Chemical and Physical Power Sources Industry Association, and has also been granted many honorable titles, such as National Working Model of the Ministry of Light Industry, Jiangsu Provincial Working Model and Jiangsu Provincial Excellent Entrepreneur etc.

Mr. Shiping Zhu, Director, aged 65
Zhu Shiping holds bachelor degree, senior engineer of the Group. From 1963 to 1987, Mr. Zhu worked in the fourteenth research institute of former Electronic Department. Then Mr. Zhu served in Shenzhen Huada Power Supply Co., Ltd. From 1993 to 1995, was chief engineer of Jiangyan Sealed Storage Battery Factory. He then successfully, served as deputy general manager in Jiangsu Shuangdeng Power Supply Co., Ltd. and Jiangsu Shuangdeng Group Co., Ltd. Since 2003, Mr. Hu has been director of the group.

Mr. Yuezhang Zhou, Deputy General Manager, Director, aged 48
From 1990 to 1995 Zhou Yaozhang was the factory deputy director of the Jiangyan Sealed Storage Battery Factory. Mr. Zhou is also one of the founders of the group. He joined Jiangsu Shuangdeng Power Supply Co., Ltd as deputy general manager in 1995 when it was set up. He has been appointed as the deputy general manager of the group since September 2002 when the group formally came into existence. Mr. Zhou has nearly 15 years of management experience in storage battery industry. Mr. Zhou possesses the title of “senior economic manager” and holds the master degree.

Mr. Zhaobin Wang, Deputy General Manager, Director, aged 44
Mr. Wang holds bachelor degree, has ten years experience in education industry and government. Served as Civil servant in Jiangyan municipal committee from 1995 to 2001, deputy director of Jiangyan municipal office from 2001 to 2002, chief and secretary of Liangxu Town from 2002 to 2003. He was appointed as director of Jiangsu Shuangdeng Group Co., Ltd in Sept 2003, and deputy general manager of Jiangsu Shuangdeng Group Co., Ltd in March 2004

Mr. Bernard Asher, Non-executive Director, aged 71
Mr. Asher was an Executive Director of HSBC Holdings 1986~1998 and Chairman of HSBC Investment Bank. Initially based in Hong Kong, as General Manager of HSBC, subsequently as Executive Director with worldwide responsibilities. Returned to UK in 1992 when HSBC shifted its Headquarters to London. In 1998 Bernard became Non–executive Vice Chairman of Legal & General Group, Chairman of Lonrho Africa, and a Non-executive director of Morgan Sindall, IMH (formerly Seymour Pierce Group plc) and TIR Capital Protection Fund. Bernard retired from Legal & General Group and Lonrho Africa Boards in April 2004 and from the board of TIR Capital Protection Fund in 2002.He is the chairman of Liontrust, a UK based equity investment fund.

Mr. Shuang Li, Independent Non-Executive Directors, aged 63
Mr. Li Shuang majored in Russian language literature and graduated from Beijing Normal University in 1968. Admitted to the Finance Research Institute of the Ministry of Finance in 1979, Mr. Li studied western accounting theory and his tutor was famous accounting Professor Yang Jiwan in China, He was sent to American Ernst and Whinney Accounting Firm as a trainee by Chinese Accounting Society during his study. In 1982 he got the master's degree in economics and began to teach lessons of “western accounting” and “western finance” in the Central University of Finance and Economics. He takes the lead in introducing U.S.A.'s original edition teaching material, holding the beginning of bilingual teaching. He was promoted as associate professor in 1988, and obtained professor's qualifications in 1993. Because of his outstanding contribution to higher education Mr. Li is awarded the special subsidy by State Council in 1996. Since 1998 Mr. Li is qualified as doctoral supervisor.
Professor Li Shuang has attended international academic meetings and went to U.S.A. twice in 1994 and 1998 as the visiting scholar.From 1999 to 2002 he was assumed as the deputy secretary-general of the Chinese Institute of Certified Public Accountants (CICPA), and then the advisor of CICPA from 2002-2004. Now he is director of Accounting Society of China (ASC), director of China Audit Society, and vice chairman of Beijing Society of Accounting, and also the member of education committee, International Federation of Accountants (IFAC), member of Institute of Internal Auditors(IIA), member of American Accounting Association, director of Accounting Society of China (ASC).

Mr. David Thomas, Independent Non-Executive Directors, aged 53
Mr. Thomas, who resides in London, has a degree in Law from Oxford University. He is an English solicitor and has more than 20 years working experience in the fields of international enterprise financing, law, and quoted companies. In his early career, Mr. Thomas specialized in providing legal consulting services to enterprises. Between 1985 and 2000, he was a partner in several major law firms specialising in corporate finance and finance law. Between 2000 and 2002 he was involved in the management of a London investment bank, and was also involved in the financing of enterprises whilst with the bank. Mr. Thomas is currently an independent non-executive director of two AIM public companies regulated by the London Stock Exchange. He has an extensive network of contacts amongst the financial and professional services community in London and over the last few years he has been involved in the introduction of more than fifteen companies onto the London Stock Exchange.

Experts:
Mr. Xinguo Hu, Chief Engineer, aged 68

From 1962 to 1993, Hu Xinguo was a professor, doctoral supervisor and then department head of Department of Applied Chemistry in Harbin Industrial University. During that period, Mr. Hu also served as the visiting professor of University of Chiba, Japan, and the technical advisor of Singaporean National Applied Research Institute. Mr. Hu had been working as the chief engineer in Hangzhou Narada Battery Group Co., Ltd. from 1997 to 2001. Mr. Hu has been appointed as the chief engineer of the group since 2002.

Mr. Peiliang She, PhD, aged 36

Mr. She graduated from Xiamen University in 1999, majored in Physical Chemistry, is now presiding an 863 project of direct methanol fuel cell of ministry of Sci. & Tech. of PRC, and has abundant expertise in the R&D of chemical power supply. He is appointed as the director of an institute, vice Chief Engineer of Nanjing Shuangdeng Sci. & Ind. Academy co., Ltd. consecutively.

Mr. Weiguang Huang, aged 44
Post-doctor of the Chinese Academy of Sciences, from April 1993, Mr. Huang served as assistant researcher, researcher, deputy director and director in Institute of Engineering Thermophysics, China Acadamy of Sciences successively. Mr. Huang was granted as the first outstanding young man of Beijing district by Chinese Academy of Sciences in 1993 and obtained the second prize of young scientist of the Chinese Academy of Sciences in 1997

Mr. Zhongqi Wang,aged 75
Academician of CAS, graduated from Harbin Industrial University, majored in Turbine; from 1960 to 1962 he studied in Moscow Power Institute and obtained deputy doctor in science technology. Mr. Wang has been teaching in Harbin Industrial University as lecturer, deputy professor, professor, doctoral supervisor since 1962. He was granted the title of Academician of CAS in 1997.

Mr. Lijie Miao, aged 50
Mr. Miao, Ph.D., graduated from Electrical Machinery Department of Tsing-Hua University, and a post-doctor of Harbin Institute of Technology Industry. He assumed office as the engineer, senior engineer in the research institute of Harbin Electrical Machinery Plant from June of 1985 to December of 1994; Mr. Miao has been serveing as the chief engineer of Harbin Power Equipment Stock Limited Company, vice president of Harbin Power Station Equipment Group Company and director of Research Center of National Generating Equipment Engineering since October 1997. Mr. Miao had obtained the science and technology progress prize of China Mechanical Department and Heilongjiang province, the third Chinese Youth Science and Technology Award, young scientific and technological expert's award of Chinese mechanical industry, Heilongjiang Province young- and middle-aged expert that had outstanding contribution, the first young scientific award of China Institute of Electrical Engineering Technology, the first young scientific award of Heilongjiang Province, and the first young scientific award of Harbin.
